1. Agreement
These Terms of Use (“Terms”) govern your use of the Excelerate Excel Add-in (“the Add-in”) and the Excelerate website and platform at exceleratefinancialmodelling.com (“the Service”), provided by Excelerate Financial Modelling Limited (“Excelerate”, “we”, “us”), a company registered in England and Wales.
By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. Description of Service
Excelerate is a Microsoft Excel Add-in that provides productivity, auditing, formatting, and formula intelligence tools for financial modellers and analysts. During routine tool use, the Add-in operates entirely within your Excel environment and does not transmit your spreadsheet content. The Service also includes optional, user-initiated portal flows (e.g. uploading a template or brand file) that do upload and process selected workbook content server-side; see our Privacy Policy for details.
3. Eligibility
You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this requirement.
4. Accounts
Some features require an Excelerate account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Each account is for the use of a single named individual; sharing an account between multiple users is not permitted on Solo or Founders Club plans. Team plans permit one named seat per person within the subscribing organisation.
5. Subscriptions and Payment
Excelerate offers paid subscription plans preceded by a 14-day free trial. Paid subscriptions are billed through Paddle, our Merchant of Record. Paddle handles all payment processing, invoicing, sales tax and VAT, and refund processing on our behalf, and your payment agreement is with Paddle in addition to these Terms. Supported payment methods include major credit and debit cards, PayPal, and other methods offered by Paddle in your region.
Subscriptions automatically renew at the end of each billing period (monthly or annual) at the then-current price, unless cancelled. You may cancel at any time via Paddle’s buyer portal at paddle.net, through your Excelerate account settings, or by contacting support. Cancellation takes effect at the end of your current billing period, and no refunds are issued for unused portions of a paid term except where required by law or as set out in our Refund Policy. We will give at least 30 days’ notice of any material change to subscription pricing before it takes effect.
6. Acceptable Use
You agree not to:
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Add-in, except to the extent applicable law expressly permits despite this restriction.
- Use the Service in violation of any applicable law, regulation, or third-party right, including intellectual property and privacy laws.
- Attempt to gain unauthorised access to any part of the Service, any account other than your own, or any underlying system, infrastructure, or data.
- Redistribute, resell, sublicense, or make the Add-in available to third parties outside the channels we authorise (Microsoft AppSource for the Add-in; the Excelerate website and portal for accounts).
- Use the Service in any manner that violates the Microsoft AppSource Standard Contract or the Microsoft commercial marketplace certification policies, including the policies governing Office Add-ins.
- Bypass, disable, or attempt to circumvent rate limits, quotas, or other usage controls; use automated tools (bots, scrapers, headless clients) to access the Service in volumes inconsistent with normal interactive use; or use the Service in a manner reasonably likely to impair its availability for other users.
- Share, sell, or transfer your account credentials, or use a single account to provide service to additional users beyond what your subscription entitles you to.
- Scrape, harvest, or extract content from the Service (including the marketing site, portal, training videos, and add-in surfaces) other than as enabled by features Excelerate provides for that purpose.
- Conduct security research, vulnerability scanning, or penetration testing against the Service without our prior written consent, other than identifying and reporting vulnerabilities in good faith via support@exceleratefinancialmodelling.com.
- Upload, share, or host through the Service (including via templates, brand palettes, or any other user-generated content surface) any content that is unlawful, infringing, malicious, or contains executable code, macros, or links intended to compromise other users.
7. Intellectual Property
The Service, including its code, design, and content, is owned by Excelerate Financial Modelling Limited. Your subscription grants you a non-exclusive, non-transferable licence to use the Add-in during your subscription period.
8. Limitation of Liability
The Service is provided “as is” without warranties of any kind. Excelerate is not liable for any indirect, incidental, or consequential damages arising from your use of the Service. Our total liability shall not exceed the amount you have paid for the Service in the preceding 12 months. Nothing in these Terms limits liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable consumer law.
9. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. During routine tool use the Add-in does not transmit your spreadsheet content; user-initiated portal uploads (templates, brand files) do upload selected workbook content server-side as described in the Privacy Policy. The third-party subprocessors that handle personal data on our behalf are listed at Subprocessors. If you are subscribing on behalf of an organisation under a Team plan, our Data Processing Agreement forms part of these Terms.
10. Changes to Terms
We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.
11. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
